End User License Agreement

Please read this Software End User License Agreement (the “Agreement”) carefully. By using all or any portion of the Software (as defined below), you (hereinafter “Customer,” as defined below) accept all the terms and conditions of this Agreement. If you do not agree to the terms and conditions of this Agreement, you are not permitted to use the Software.


The Software is licensed, not sold, only in accordance with the terms and conditions of this Agreement.

1 Definitions

1.1

“Computer” means a virtual machine or physical personal electronic device that accepts information in digital or similar form and manipulates it for a specific result based on a sequence of instructions, including without limitation desktop computers, laptops, tablets, mobile devices, telecommunication devices, Internet-connected devices, and hardware products capable of operating a wide variety of productivity, entertainment, or other software applications, that conforms to the system requirements of the Software as specified in the Documentation.

1.2

“Customer” or “you” means you and any legal entity that obtained the Software used by you.

1.3

“Open Source Components” means any software component that is subject to an open source license agreement, including any software available under the GNU General Public License (GPL), GNU Lesser General Public License (LGPL), Mozilla Public License (MPL), Apache License, BSD license, MIT license, or any other open source license that is approved by the Open Source Initiative (each, an “Open Source License”).

1.4

“Software” means all software files, data, information, content, and documents in connection with this agreement, and any modified versions and copies of, and upgrades, patches, error corrections, updates, and additions to such information, as may be from time to time.

1.5

“Use” means to access, install, download, or otherwise benefit from using the functionality of the Software.

1.6

“ThinkingWealth Pvt. Ltd,” “us” or “our” means Thinking Wealth Pvt Ltd (www.thinkingwealth.ai)

2 Software Usage

2.1

Usage Grant. Subject to your compliance with the terms and conditions of this Agreement, ThinkingWealth Pvt Ltd grants you a non-exclusive, non-transferrable, revocable, limited Use of the Software in a manner consistent with its design and intended purpose.

2.2

General Use. You may Use one copy of the Software on your Computer. Your Use is restricted as set forth in Section 3 (Restrictions) of this Agreement.

2.3

Termination. ThinkingWealth Pvt Ltd has the right to terminate such usage grant to the Software at any time.

3 Restrictions

3.1

Use. You agree that you will only Use the Software as permitted by this Agreement; and

  1. as per Exhibit A(Community Guidelines), and
  2. in compliance with the laws of the jurisdiction where you Use the Software

3.2

Transfer. You will not alter, sell, rent, lease, license, assign, distribute, or transfer the Software to any third party.

3.3

Modification. You will not cause or permit the reverse engineering, reverse assembly, or reverse compilation of the Software, discovery of the Software source code, or unbundling of component parts of the Software.

3.4

Integration. You will not integrate or Use the Software with any other software, plug-in, or enhancement.

3.5

Notices. You will not alter or remove any copyright or other proprietary notice that appears in the Software.

4 Third Party and Open Source Software

4.1

Open Source Components. You agree and acknowledge that the Software may include the Open Source Components listed in Exhibit A hereto, which are licensed under the specified Open Source Licenses. Any use of the Open Source Components by you is governed by, and subject to, the terms and conditions of the applicable Open Source Licenses.

4.2

You shall not remove any third party programs’ license terms or notices included in and/or with the Software as required by those license terms or notices. Any use or distribution of such third party programs provided hereunder is subject solely to the rights and obligations under the applicable open source or freeware license terms and notices. Any such third party program included in the Software, if any, is licensed solely under the applicable open source or freeware license terms and notices.

5 Intellectual Property

The Software is the intellectual property of ThinkingWealth Pvt Ltd and its suppliers. The structure, organization, and code of the Software constitute valuable intellectual property of ThinkingWealth Pvt Ltd and its suppliers. The Software is protected by law, including without limitation the copyright laws of Mauritius and other countries, and by international treaty provisions. This Agreement does not grant you any rights to the Software, and all rights not expressly granted are reserved by ThinkingWealth Pvt Ltd and its suppliers.

6 Disclaimer of Warranties

6.1

The software is provided “as-is” to the maximum extent permitted by law. ThinkingWealth Pvt Ltd disclaims all warranties, express or implied, including the implied warranties of non-infringement, merchantability, and fitness for a particular purpose. ThinkingWealth Pvt Ltd further disclaims any warranty that (a) the Software will meet your requirements or will be constantly available, uninterrupted, timely, secure, or error-free; (b) the results obtained from using the Software will be effective, reliable or accurate; (c) the quality of the Software will meet your expectations; or (d) any errors or defects in the Software will be corrected.

6.2

ThinkingWealth Pvt Ltd specifically disclaims all liability for any actions resulting from your Use of the Software. You may Use and access the Software at your own discretion and risk, and you are solely responsible for any damage to your Computer system or loss of data that results from the Use of and access to the Software.

7 Limitation of Liability

7.1

ThinkingWealth Pvt Ltd is not liable to you or anyone for any loss of use, data, goodwill, or profits, whatsoever, and any special, incidental, indirect, consequential, or punitive damages whatsoever, regardless of cause (even if ThinkingWealth Pvt Ltd has been advised of the possibility of the loss or damages), including losses and damages (a) resulting from loss of use, data, or profits, whether or not foreseeable; (b) based on any theory of liability, including breach of contract or warranty, negligence or other tortious action; or (c) arising from any other claim arising out of or in connection with your Use of or access to the Software.

7.2

In no event will ThinkingWealth Pvt Ltd be liable to you for any matter arising out of or related to this agreement, including without limitation loss of use, loss of revenue, lost profit, or for any direct, indirect, incidental, consequential special, exemplary, or punitive damages, whether arising out of breach of contract, tort (including negligence), or otherwise, regardless of whether such damage is foreseeable and whether or not ThinkingWealth Pvt Ltd has been advised of the possibility of such damages . The limitation and exclusions in this section apply to the maximum extent permitted by law.

8 Indemnification

You agree to defend and indemnify ThinkingWealth Pvt Ltd and its Affiliates (as defined in Section 14.6 below) against all damages, liabilities, costs, charges and expenses, including but not limited to reasonable attorneys’ fees, that ThinkingWealth Pvt Ltd and its Affiliates may incur as a result of your breach of this Agreement and any claims brought by a third party against ThinkingWealth Pvt Ltd and its Affiliates related to information submitted by you or actions taken by you under this Agreement. ThinkingWealth Pvt Ltd will provide timely notice of any such claim, suit or proceeding.

9 Survival

ThinkingWealth Pvt Ltd’s warranty disclaimers and limitations of liabilities, and dispute resolution provisions stated in this Agreement will survive any termination of this Agreement.

10 Export Rules

The Software and your Use of the Software are subject to Mauritius and international laws, restrictions, and regulations that may govern the import, export, and Use of the Software. You agree to comply with all such laws, restrictions, and regulations.

11 Governing Law

This Agreement is governed by the laws of Mauritius.

12 Updates

We may modify this Agreement at any time. We will post notice of modifications of this Agreement on this page. By continuing to Use the Software after the Agreement has been updated, you agree to be bound by the revised terms and conditions of the updated Agreement. Any other modification of the Agreement will require the written consent of ThinkingWealth Pvt Ltd.

13 Privacy and Security

Please review our Privacy Policy, which also governs your Use of the Software and your visit to our website, to understand our privacy and security practices. To the extent that there is a conflict between this Agreement and the Privacy Policy, this Agreement shall control to the extent necessary to resolve the conflict.

Miscellaneous

14.1

English Version. This Agreement is written in English, and the English version of this Agreement will be the version used when interpreting or construing the terms and conditions of this Agreement.

14.2

Headings. Headings used in this Agreement are provided for convenience only and will not be used to construe meaning or intent.

14.3

Severability. If any provision of this Agreement is held invalid or unenforceable for any reason, such provision will be enforced to the maximum extent permissible to effect the original intent of the parties, and the remaining provisions of this Agreement will continue in full force and effect.

14.4

No Waiver. ThinkingWealth Pvt Ltd’s failure to enforce or exercise any provision of this Agreement is not a waiver of that provision; to be enforceable, a waiver must be in writing and signed by an authorized representative of ThinkingWealth Pvt Ltd.

14.5

Authority. If you are an individual acting on behalf of an entity, you represent and warrant that you have the requisite authority to bind such entity to this Agreement.

14.6

Affiliates. “Affiliate” means any corporation, firm, limited liability company, partnership or other entity that directly or indirectly controls or is controlled by or is under common control with a party hereto. As used herein, “control” means ownership, directly or indirectly, of fifty percent (50%) or more of the shares of stock entitled to vote for the election of directors, in the case of a corporation, or fifty percent (50%) or more of the equity interests in the case of any other type of legal entity, or status as a general partner in any partnership, or any other arrangement whereby a party controls or has the right to control the Board of Directors or equivalent governing body of a corporation or other entity or has the ability to direct or influence the operations of an entity, directly or indirectly, by virtue of ownership of a majority of its outstanding voting shares, by contract or otherwise.

DO NOT INTERACT WITH OTHERS OR SHARE CONTENT IN A WAY THAT'S UNCIVIL, INAPPROPRIATE, OR DISRESPECTFUL.

echoes. is a diverse community united by a shared passion for financial wellness. While most members engage positively, some may inadvertently misuse the platform. Our guidelines are designed to provide clarity and direction, fostering an atmosphere that encourages learning and collaboration.

VIOLATING OUR COMMUNITY GUIDELINES CAN RESULT IN ACTION AGAINST YOUR ACCOUNT OR CONTENT

These policies apply to all users. Depending on the severity of violation, we may limit the visibility of certain content, label it, or remove it entirely. Repeated or egregious offenses will result in account restriction. If you believe action taken on your content or your account was in error, you can submit an appeal.

Tell us if you see abusive content

If you see something you believe may violate our policies, whether in profiles, posts, messages, comments, or anywhere else, please report it to us. Combined with our automated defenses, these reports help us identify and prevent abuse. Users can report content by clicking on the three dots icon in the upper right-hand corner of the content itself on echoes. Please use the reporting tools responsibly and only for their intended purposes. In addition to our trained content reviewers, we use automated systems to identify potentially violative content. Violating content can be removed from echoes.

Report copyright and trademark infringement

We require information posted by users to be accurate, lawful, and not in violation of the rights of others.

Please note that whether or not we disable access to or remove content, we may make a good faith attempt to forward the written notification, including the complainant’s contact information, to the user who posted the content and/or take other reasonable steps to notify the user that we have received notice of an alleged violation of intellectual property rights or other content violation. It is also our policy, in appropriate circumstances and in our discretion, to disable and/or terminate the accounts of users who infringe or repeatedly infringe the rights of others or otherwise post unlawful content.

Guidelines for a Safer and Respectful Community

  • Safety and Respect: Uphold the well-being of fellow members. Conduct yourself respectfully, avoiding any form of violence, explicit language, trolling, abuse, or fraudulent activities.
  • Trolling and Conflict: Strive for meaningful discussions. Refrain from inciting conflicts or provoking others. All interactions should be polite and constructive.
  • Honesty and Identity

    Authenticity: Avoid deceptive practices. Do not use echoes. logos or brands to misrepresent your identity in display names, profile pictures, or posts.

    Third Party Content

    Solicitation Responsibility: If sharing third-party content, ensure it aligns with our guidelines. Obtain permission for any third-party advertising, avoiding content that conflicts with our community values.

    Maintaining Integrity in Financial Conversations

  • Credibility: Do not share misleading information about your financial experience.
  • Investment Advice: Refrain from providing direct investment advice or calling for specific investment actions.
  • Market Ethics: Do not engage in market manipulation or share false promises. Avoid instructions on trades or volatile market strategies.
  • Information Accuracy: Refrain from spreading misinformation or fake news that could distort financial markets.
  • Thoughtful Sharing: Avoid spamming and repetitive information sharing that might mislead or manipulate others.
  • Connecting with Us

    Customer Service: For technical assistance, contact us via email at support@thinkingwealth.ai. Avoid posting technical queries on the feed.

    Respecting Privacy

    Personal Information: Never share private details on the echoes. News Feed. Encourage others to do the same for their safety.

    Sensitive Topics and Platform Integrity

    Content Restrictions: Please refrain from discussing or sharing materials that touch upon topics considered sensitive or illegal under local laws and cultural norms, including but not limited to self-harm, exploitation of minors, harassment, and attempts to manipulate the platform.

    CONSEQUENCES FOR VIOLATIONS POSTS, COMMENTS, AVATARS, AND BIOS THAT CONTRAVENE OUR GUIDELINES MAY BE EDITED OR REMOVED. REPEATED VIOLATIONS WILL LEAD TO RESTRICTED ACCESS. IF A USER'S BEHAVIOUR PERSISTS DESPITE WARNINGS, WE MAY RESTRICT THEIR CONTENT OR ACCESS BASED ON ECHOES. TEAM AND COMMUNITY FEEDBACK.

    DO NOT ENGAGE IN SEXUAL INNUENDOS OR UNWANTED ADVANCES. We don't allow unwanted expressions of attraction, desire, requests for romantic relationship, marriage proposals, sexual advances or innuendo, or lewd remarks. echoes is a financial engagement platform, not a dating site. Do not use echoes to pursue romantic connections, ask for romantic dates, or provide sexual commentary on someone's appearance or perceived attractiveness. DO NOT SEND UNWANTED ADVANCES IN, POSTS, OR COMMENTS OR POST SEXUALLY EXPLICIT IMAGES ON ECHOES.

    We also don't allow content depicting or promoting instructional weapon making, drug abuse, and threats of theft. Do not engage in or promote escort services, prostitution, exploitation of children, or human trafficking. Do not share content or activities that promote or encourage suicide or any type of self-injury, including self-mutilation and eating disorders. If you see signs that someone may be considering self-harm, please report it using our reporting tools and consider also reporting it to your local law enforcement authorities. Do not share material depicting nudity or sexual activity.

    Contributing Positively

  • Constructive Engagement: Respect diverse perspectives within our community. Be polite and refrain from harassment, even when differing opinions arise.
  • Encourage Dialogue: Challenge ideas, strategies, and market events in a constructive manner.
  • DO NOT SCAM, DEFRAUD, DECEIVE OTHERS. Do not use echoes to facilitate romance scams, promote pyramid schemes, or otherwise defraud users. Do not share malicious software that puts our users, platform, or services at risk. PHISHING ATTEMPTS ARE NOT TOLERATED.

    Staying Relevant and Helpful

  • Focused Discussions: Keep conversations on topic and relevant. Avoid derailing discussions with personal or unrelated content. Utilize appropriate Spaces for relevant interactions.
  • Growing Your Presence: Build a following by being visible and engaged:

  • Responsible Representation: Portray yourself as a responsible community member aligned with our finance-focused values.
  • Active Participation: Contribute to conversations and assist others with queries.
  • Social Sharing: Share posts on social media to attract new followers.

    Exhibit B - Reporting

    Reporting Spam, inappropriate abusive content, and copyright infringement

    When you report another user's content, they won't be notified who reported them, and you should no longer see the content or conversation that you reported in your feed or messaging inbox. We may review the reported content or conversation to take additional measures like warning or suspending the author if the content is in violation of our Terms of Service. In some cases, you’ll receive more information on the outcome via email.

    1. Click the  three dots icon in the right corner of the post.
    2. Click Flag icon
    3. Enter the reason or explanation in pop-up window and follow the on-screen instructions.
    4. Click Submit to proceed with reporting the post, or Back to review your options.

    Report a profile that is fake, impersonating someone, or violates Terms of Use

    1. Click the three dots icon in the right corner of the post. You can also do this on that user’s profile page
    2. Click  Report or Block
    3. Enter the reason or explanation in pop-up window and follow the on-screen instructions.
    4. Click Submit to proceed with reporting the post, or Back to review your options.

    On blocking or reporting, the user’s content will not be visible to you.

    We take measures within 24 hours of receiving the report by removing the content and warning or suspending the user if in violation. In some cases, you’ll receive more information on the outcome via email.
